What supervision means
A responsible officer must satisfy the SFC that they can properly manage and supervise the corporation's activities. It is assessed as an ability to discharge supervisory duties, including having the time to do so.
The approval most people plan for as a promotion and experience as a liability.
What the SFC is satisfying itself about
In assessing an applicant the SFC needs to be satisfied that the individual possesses appropriate ability, skills, knowledge and experience to properly manage and supervise the corporation's proposed activities.
Note the verb. Manage and supervise, not understand.
Time is part of the test
The SFC expects responsible officers carrying on multiple regulated activities across a group to demonstrate that they can manage their time well enough to discharge supervisory duties in all of them. A person named on too many things is not merely busy; they are arguably not competent for the approval.
Conflicts are yours to address
Individuals carrying on multiple activity types concurrently must ensure they and their principals have properly addressed all potential and actual conflicts of interest.
The same applies to outside directorships and other business interests, particularly where they might prejudice investor interests through confidentiality concerns.
The additional criteria nobody reads until late
- Sponsor and compliance adviser work under the Listing Rules carries additional eligibility criteria
- Codes on Takeovers work carries its own
- Managing products authorised under the UT Code or REIT Code is assessed separately when you apply under those codes
So an approval that looks granted can still be short of what a particular mandate needs.
And the training goes up
At least 12 CPT hours a year rather than 10, with the two additional hours on regulatory compliance. Sponsor or Takeovers work adds at least 2.5 hours a year on that work specifically.
The honest summary
Supervisory failures are among the things the SFC disciplines for. Accepting the approval means accepting that the failures of people you supervise can become yours.
