Fit and proper is continuous
Competence gets you licensed. Fitness and properness keeps you licensed, and the SFC assesses it for as long as you hold the licence rather than at the application alone.
That is a different relationship with a regulator from one where the test is at the door.
It is public
The SFC publishes disciplinary outcomes and maintains the public register. A prospective employer, a counterparty or a client can look.
A fine or a suspension has a defined size. The record then sits behind every future application - a new firm, an added activity type, a responsible officer approval - and each of those is a fresh fitness assessment. That is the part that compounds.
What tends to be behind it
- Carrying on a regulated activity outside the scope of the licence held
- Conduct failures in dealing with clients
- Failure to comply with the codes and guidelines the paper examines
- Supervisory failures, which is why responsible officer approval is not given lightly
- Providing false or misleading information to the SFC, which reaches fitness directly
Conditions and undertakings
Where the SFC grants an exemption or a conditional approval it may impose licensing conditions and request confirmations or undertakings from the individual, the sponsoring corporation or both.
Breaching a condition or giving false information in a confirmation may impugn the fitness and properness of the individual, the firm, or both. The condition is not paperwork.
The practical reading
Know your scope, keep your CPT current, and put nothing in a regulatory submission you have not checked. The regime is not looking for perfection; it is looking for people who take the obligations as obligations.
