The SFC licence application process, step by step

The short answer

Your sponsoring licensed corporation files the application through the SFC's online portal. You supply personal disclosures, qualification evidence and employment history. The SFC assesses fitness and properness and competence, raises follow-up questions, then grants, imposes conditions, or refuses. Your name appears on the public register when it is granted.

The application is mostly your employer's problem and entirely your responsibility. That sounds contradictory. It is not. Compliance fills in the forms and presses submit, but every disclosure in it is a statement you are making to a regulator, and if one of them turns out to be wrong, the consequence lands on you.

That bottom row matters. Candidates sometimes chase HKSI about their licence. HKSI cannot help. Once you have a pass, the Institute is finished with you.

What goes into the application

Identity documents and personal particulars. Your full employment history, with gaps explained. Academic and professional qualifications, with evidence. Examination passes. Details of the regulated activities you are applying for and the firm accrediting you. And the disclosure questions - the ones about bankruptcy, criminal matters, regulatory findings, disciplinary action, dismissals, civil judgments and directorships of companies that ran into difficulty.

Follow-up questions are normal

The SFC routinely comes back with questions. A gap in your employment history. A qualification it wants evidence of. An explanation of something you disclosed. This is not a bad sign and it does not mean you are in trouble. It means somebody is reading the file properly.

Answer fast. Answer completely. The single biggest driver of a slow application is a slow applicant, and compliance teams will tell you the same thing. A question that sits in your inbox for a week is a week added to your start date.

How long it takes

We are not printing a number here, and you should distrust anyone who does. Processing time depends on how complete the submission is, whether anything in your history needs explaining, what the activity is, and how busy the regulator is at the time.

What you can do is get real data instead of an internet estimate. The SFC publishes information about its own processing and service standards. Your compliance team knows what recent applications for people in your position have taken. Between those two sources you will get something far more useful than a blog average. Do not start regulated work before the licence is granted

Carrying on a regulated activity without a licence is a serious matter under the Ordinance, and the exposure runs to you as well as the firm. If your start date arrives before your approval does, your firm should have you doing something unregulated. If they do not, that tells you something about the firm.

The five things that stall applications

  1. Incomplete employment history. Unexplained gaps get queried every time. Write the explanation before you are asked.
  2. Non-disclosure. Something the applicant judged too minor or too old to mention, which the SFC then found elsewhere. This is the serious one.
  3. Missing qualification evidence. Certificates from overseas institutions take time to obtain. Start early.
  4. Slow responses to follow-up questions. Entirely within your control.
  5. Applying for the wrong activity types. Usually a firm-side error. Check the submission names the types you actually discussed.

Conditions

A licence can be granted with conditions attached. That might mean you cannot hold client assets, or cannot deal with retail clients, or can only act under supervision in a particular way. Conditions are not a punishment. They are the SFC finding a way to say yes to an application it would otherwise have to refuse, and they can be varied later as your position changes.

The opinion

Treat the disclosure section as the most important document you will complete this year, and give it more time than you gave the exam revision. That is not rhetorical. Study time buys you a pass mark and the paper can be resat. A disclosure failure follows you around the industry, gets raised at every subsequent application, and cannot be resat at all.

The concession: for most applicants the whole thing is administratively dull and goes through without incident. Clean history, standard qualifications, a competent compliance team, and the process does what it is supposed to do quietly. The advice above is insurance, not a prediction. If you have nothing to declare, declare nothing, respond promptly, and get on with reading the fit and proper guidelines so you understand what you are attesting to.
