Representative to responsible officer

Compiled by the Sitonce editorial team from the HKSI and SFC sources listed belowUpdated 3 min readFacts verified 5 September 2026
The short answer

The SFC requires an academic or professional qualification limb, at least three years of relevant industry experience over the past six, two years of management experience, and a pass in a second LE paper matched to the regulated activity.

The step that turns a licence into a career, and the one with the longest lead time.

The four limbs

LimbWhat the SFC looks for
Academic or professionalA degree in accounting, business administration, economics, finance or law; another degree with passes in two courses in those fields; or an internationally recognised professional qualification
Relevant industry experienceAt least three years over the past six under the main options
Management experienceTwo years, under every option
ExaminationPaper 1 plus a second paper, which one depending on the regulated activity

All four, not the best three. The management limb is the one people are short on.

Administrative supervision does not count

The SFC accepts management experience acquired in the financial industry but would not normally accept experience that is purely administrative, such as supervising human resources or office administration staff. Running a team is not automatically management experience for this purpose - it has to be management of the business.

The six-year window

Three years over the past six. The experience has to be recent, so a person who did three good years and then spent four elsewhere does not arrive with the box ticked.

One option runs on a longer arithmetic, five years over the past eight, where the extra CPT route is used instead of a recognised industry qualification.

The second paper

Paper 1 is only half of the examination limb for a responsible officer. The pairing depends on the activity: Papers 1 and 2 for types 1, 4 and 8; Papers 1 and 3 for types 2, 5 and 11; Papers 1 and 4 for type 9.

Type 6 has no local regulatory framework paper requirement at responsible officer level, which surprises people working in corporate finance.

Plan it backwards

  1. Work out which regulated activity you will be approved for, because it fixes the second paper
  2. Check the six-year window against your actual history, not your total years
  3. Get the management limb documented as you earn it rather than reconstructing it later
  4. Sit the second paper while the three-year recency rule still favours you

The CPT changes too

A responsible officer takes two additional CPT hours a year, so at least 12 rather than 10, and those two should cover regulatory compliance.

Common questions

How much experience does a responsible officer need?

At least three years of relevant industry experience over the past six under the main options, plus two years of management experience.

What counts as management experience?

Management of the business. The SFC would not normally accept purely administrative supervision such as HR or office administration.

Which exams does a responsible officer need?

Paper 1 plus a second paper matched to the regulated activity - Papers 1 and 2 for types 1, 4 and 8, for example.

Does type 6 need a second paper?

Type 6 has no local regulatory framework paper requirement at responsible officer level.

Does CPT change when I become an RO?

Yes. At least 12 hours a year instead of 10, with the two extra on regulatory compliance.
